Terms of Service

Effective date: October 3, 2026

These Terms of Service ("Terms") govern access to and use of FleetPlus's fleet and trip management software, website, and mobile app (together, the "Service"), operated by FleetPlus ("we", "us", "our"). By registering a business, accepting an invitation, or otherwise using the Service, you ("Customer", "you") agree to be bound by these Terms. If you're agreeing on behalf of a business, you confirm you have authority to bind that business.

1. Definitions

  • "Business" means the transport/logistics organization that registers for the Service.
  • "Authorized User" means an admin, supervisor, or driver the Business invites to access the Service.
  • "Customer Data" means trip, truck, driver, expense, photo, location, and other data submitted to the Service by the Business or its Authorized Users.

2. Eligibility and Account Registration

You must be at least 18 years old and capable of entering into a binding contract to use the Service. You're responsible for the accuracy of information provided during registration and for maintaining the confidentiality of your login credentials. You're responsible for all activity under your account, including that of Authorized Users your Business invites.

3. Description of Service

FleetPlus provides software to help transport businesses manage trucks, trips, drivers, expenses, and related operational data, including driver-submitted selfies, location, and event logs used to verify trip activity. We may add, change, or discontinue features of the Service at any time, and will make reasonable efforts to notify you of material changes.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to reverse-engineer, decompile, or access the Service's source code, except where permitted by law.
  • Scrape, data-mine, or use automated means to extract data from the Service beyond its intended use.
  • Upload content you don't have the right to share, or that infringes a third party's rights.
  • Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it.

5. Customer Data

As between you and FleetPlus, you retain all rights to Customer Data. You grant FleetPlus a limited, non-exclusive license to host, store, process, and display Customer Data solely to provide and improve the Service. You're responsible for ensuring you have the necessary rights and consents — including from your drivers — to submit their photos, location, and other personal data through the Service. Our Privacy Policy explains how we handle that data.

6. Driver Data Consent

Certain actions in the Service (starting a trip, completing a trip, logging an event) require a driver to submit a selfie, precise location, and device battery status, used to verify the driver was present for that action. By inviting a driver to use the Service, the Business confirms it has informed the driver of this requirement and obtained any consent required under applicable law before the driver starts using the Service.

7. Fees and Payment

Some features of the Service may be offered on a paid subscription basis. Where applicable, fees, billing cycle, and payment terms will be communicated to you at the time of purchase or upgrade. All fees are exclusive of applicable taxes (including GST), which will be added to invoices as required by law. Fees already paid are non-refundable except where required by law or expressly stated otherwise.

8. Intellectual Property

FleetPlus and its licensors retain all right, title, and interest in and to the Service, including all software, design, and branding. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes — they don't transfer any ownership rights to you.

9. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information of similar nature, and not to disclose it to third parties except as needed to perform its obligations under these Terms or as required by law.

10. Service Availability

We aim to keep the Service available and performing reliably, but we don't guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or reasons outside our control.

11. Suspension and Termination

We may suspend or terminate access to the Service, with or without notice, if we reasonably believe you've violated these Terms, misused the Service, or if required to do so by law. You may stop using the Service, or request deletion of your Business's account, at any time as described in our Privacy Policy. On termination, your right to access the Service ends immediately, though certain provisions of these Terms (e.g. intellectual property, limitation of liability, confidentiality) survive termination.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement, to the maximum extent permitted by applicable law.

13. Limitation of Liability

To the maximum extent permitted under the Indian Contract Act, 1872 and other applicable law, FleetPlus's total liability arising out of or relating to these Terms or the Service will not exceed the total fees paid by you to FleetPlus in the 12 months preceding the claim. FleetPlus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, except in cases of gross negligence, fraud, or willful misconduct, or where such exclusion isn't permitted by law.

14. Indemnification

You agree to indemnify and hold FleetPlus harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or violation of any third-party right, including a driver's rights relating to data submitted through the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service will first be attempted to be resolved amicably; failing that, it will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed by mutual agreement, seated in Satna, Madhya Pradesh, India, in the English language. Subject to the foregoing, the courts at Satna, Madhya Pradesh, India will have exclusive jurisdiction over any matters not subject to arbitration.

16. Grievance Officer

In accordance with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000 and rules made thereunder, the Grievance Officer for FleetPlus is:

Nitin Agarwal
Email: ophiz@gmail.com

We will acknowledge and address grievances in accordance with applicable law.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email before they take effect. Continued use of the Service after a change takes effect means you accept the updated Terms.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and FleetPlus regarding the Service. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
